PLEASE READ THIS HOST AGREEMENT ("Agreement") CAREFULLY. BY REGISTERING AS A HOST ON THE DIRECTSTAY PLATFORM ("Platform") OR LISTING ANY PROPERTY THROUGH OUR SERVICES, YOU ("Host") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, PLEASE DO NOT USE OUR SERVICES AS A HOST.
1.0 Definitions
"DirectStay," "we," "us," or "our" refers to DirectStay, its subsidiaries, affiliates, and assigns.
"Host" means any individual or entity that lists a Property for short-term rental on the Platform.
"Guest" refers to any individual or entity that books or occupies a Property through the Platform.
"Property" means the accommodation or rental space listed by the Host on the Platform.
"Listing" refers to a specific Property listing created by a Host, including all provided details and pricing information.
"Content" includes any information, images, descriptions, or other materials provided by the Host in connection with the Platform.
2.0 Registration and Eligibility
2.1 Account Registration
To become a Host, you must create an account on the Platform and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
2.2 Eligibility Requirements
You must be at least 18 years old and have legal authority to rent out the Property. You represent and warrant that you have all necessary permissions, licenses, and approvals required by local laws and regulations to list your Property for short-term rental.
2.3 Verification
DirectStay may require identity verification or additional documentation before approving your registration or Listing. DirectStay reserves the right to refuse or revoke registration at its sole discretion.
3.0 Listing Requirements
3.1 Accurate Descriptions
You agree to provide accurate, truthful, and complete descriptions of your Property in your Listing. Any misleading or false information may result in immediate removal of your Listing and/or termination of your account.
3.2 Compliance with Laws
You are solely responsible for ensuring that your Listing and rental activity comply with all applicable local, state, and federal laws, including zoning laws, tax obligations, and short-term rental regulations.
3.3 Safety Standards
Your Property must meet all applicable safety standards and building codes. You agree to provide a safe environment for Guests, including functioning smoke detectors, carbon monoxide detectors, and fire extinguishers where required.
3.4 Content Ownership
By uploading any Content to the Platform, you grant DirectStay a non-exclusive, worldwide, royalty-free license to use, display, and distribute such Content in connection with operating the Platform.
4.0 Host Obligations
4.1 Guest Experience
You agree to provide Guests with a positive experience, including timely communication, accurate property descriptions, a clean and well-maintained space, and adherence to agreed-upon booking terms.
4.2 Cancellation Policy
As a Host, you must honor any confirmed Bookings unless exceptional circumstances arise. Cancellations made by the Host may result in penalties, including removal from the Platform, as outlined in our cancellation policy.
4.3 Insurance and Liability
It is your responsibility to maintain adequate insurance for your Property, including coverage for short-term rental activity. DirectStay is not responsible for any damage, loss, or liability arising from your Guests' use of the Property.
4.4 Tax Obligations
You are solely responsible for collecting and remitting any applicable taxes related to your rental activity. DirectStay may provide tax-related information but does not offer tax or legal advice.
5.0 Booking and Payment Process
5.1 Booking Confirmation
Once a Guest confirms a Booking, a contractual relationship is formed between you and the Guest. DirectStay acts solely as a facilitator of this relationship.
5.2 Payment Processing
DirectStay will process payments from Guests on your behalf through our designated payment partners. Payments will be disbursed to you according to the payout schedule outlined in your account settings.
5.3 Service Fees
DirectStay charges a service fee for use of the Platform. This fee is deducted from each Booking payment before disbursement to the Host. The applicable fee structure will be disclosed in your account settings.
5.4 Refunds
In the event of a dispute or a need for a refund, such matters will be resolved according to the cancellation and dispute resolution policies in place at the time of the Booking.
6.0 Limitation of Liability
6.1 Disclaimer of Warranties
The Platform and services are provided on an "as is" and "as available" basis without any warranties, either express or implied.
6.2 Indirect Damages
To the fullest extent permitted by applicable law, DirectStay shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of bookings or revenue, claims by Guests, or any damage or destruction of property.
6.3 Maximum Liability
DirectStay's aggregate liability to you, whether in contract, tort, or otherwise, shall not exceed the total service fees paid by DirectStay to you in the 12 months preceding the claim.
7.0 Termination
7.1 Termination by DirectStay
DirectStay reserves the right to suspend or terminate your account or Listing at any time, with or without cause, including but not limited to violations of this Agreement, fraudulent activity, or complaints from Guests.
7.2 Termination by Host
You may terminate your account at any time by following the account closure procedures outlined in the Platform settings. Termination does not relieve you of obligations arising from active Bookings prior to termination.
7.3 Effect of Termination
Upon termination, all rights granted to you under this Agreement shall immediately cease. Any pending Bookings at the time of termination shall be handled in accordance with the applicable cancellation policies.
8.0 Dispute Resolution
8.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Wyoming, without regard to its conflict of law principles.
8.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to this Agreement, including your listing activities or any Booking, shall be resolved exclusively through binding arbitration.
8.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted solely on an individual basis, and you waive any right to participate in any class action or representative proceeding.
9.0 Miscellaneous
9.1 Entire Agreement
This Agreement, together with any additional policies referenced herein, constitutes the entire agreement between you and DirectStay regarding your use of the Platform as a Host.
9.2 Amendments
DirectStay may amend or modify this Agreement at any time. Your continued use of the Platform after any such amendments constitutes your acceptance of the revised Agreement.
9.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
9.4 Waiver
No failure or delay by DirectStay in exercising any right under this Agreement shall constitute a waiver of that right.
